Effective Date: September 2026. Defined terms have the meanings given in the relevant document. In case of conflict between language versions, the English version shall prevail unless applicable law requires otherwise.

1. Free Conversation Allowance

  • Each account is entitled to an initial allowance of 30 free text conversation turns, shared across all characters and supported access channels. The allowance is granted once per account and does not renew periodically or upon commencement of a new conversation. A turn is deducted upon receipt of a valid AI reply. Unsuccessful requests without such a reply do not count toward the allowance. Any additional allowance is subject to a separate grant.
  • The available free allowance shall be applied before any deduction of Stamina, irrespective of membership status. Upon exhaustion of that allowance, continued access to eligible conversations requires sufficient Stamina in accordance with Sections 4 and 5. Users may obtain Stamina through a separate purchase or an eligible VIP subscription. Exhaustion of the allowance shall not, of itself, result in account suspension, enrolment in a paid subscription or a payment obligation.

2. VIP Membership

VIP membership is a paid subscription entitling the subscriber to the benefits and Stamina allowances specified for the selected plan at the time of purchase. The scope of those entitlements depends on the membership tier and subscription term selected.

The following conditions apply to VIP membership:

  • Membership takes effect upon confirmation of successful payment and continues for the applicable paid subscription period. Activation is subject to payment verification and processing. Details of the subscription and its current term are available in the subscriber's account.
  • Membership entitlements are subject to the allowances and usage limits applicable to the selected plan and do not constitute an entitlement to unlimited conversations. The allocation, use and expiry of Stamina are governed by Sections 4 and 5.

We may apply reasonable usage restrictions where necessary to maintain the security and stability of the Services or prevent fraud or abuse, in accordance with the Terms of Service. Such restrictions remain subject to applicable law and shall not exclude or limit mandatory rights relating to the Services purchased.

3. Subscription Plans, Billing and Cancellation

Subscriptions are offered for the periods set out below, subject to availability. The applicable subscription fee, currency, billing interval and recurring charge shall be disclosed before purchase. Advertised prices shall include applicable taxes and other unavoidable charges to the extent reasonably calculable in advance. Where a charge cannot be calculated in advance, its existence and basis shall be prominently disclosed. The total amount payable shall be confirmed before payment. Any daily or monthly equivalent is illustrative only. Payment is due for the full subscription period selected.

  • Monthly subscriptions: payable for each monthly subscription period.
  • Quarterly subscriptions: payable for each three-month subscription period.
  • Yearly subscriptions: payable for each annual subscription period.

Notes:

  • Automatic renewal. By entering into an auto-renewing subscription, you authorise recurring charges at the agreed billing interval and recurring price, unless the subscription is cancelled or changed in accordance with these Terms. Following any introductory period, renewal shall be at the standard recurring price disclosed at purchase.
  • Introductory offer. Eligible subscribers are entitled to a one-time discount of 50% on the standard fee for their first paid subscription period, as disclosed before purchase. The offer does not apply to Stamina purchases or subsequent renewals. Any continuation of the discount upon an eligible upgrade is subject to the terms disclosed for that upgrade. Cancellation and resubscription do not renew eligibility for the offer.
  • Cancellation. You may cancel automatic renewal through your account before the next scheduled renewal. Upon confirmation of cancellation, no further renewal shall occur, and membership shall continue until expiry of the current paid period, subject to the applicable allowances and Stamina validity rules. Cancellation does not replenish Stamina, extend its validity or confer an automatic right to a refund. Refunds are governed by Section 6 and the Refund Policy. A new authorisation is required to reinstate recurring billing.
  • Changes of plan. Where available, an upgrade takes effect upon confirmation of the required payment or authorisation and commences a new subscription period. The upgrade fee shall take account of the unused value of the existing period, calculated by reference to the time remaining, and any applicable discount. Available downgrades take effect upon expiry of the current paid period. The charges, effective date and renewal terms applicable to a change are those specified for the selected change.
  • Payment. Payment shall be made using an accepted method displayed at checkout. A pending or unsuccessful payment does not constitute activation of membership or confirmation of an upgrade.

4. Stamina (Virtual Credits)

Stamina means virtual service credits made available for eligible features of the rizzora.ai Services, including text conversations. Stamina may be acquired by purchase, allocated as a subscription benefit or granted on a promotional basis, subject to these Terms.

  • Acquisition. Stamina packages may be purchased by members and non-members, irrespective of any remaining allowance or balance. The price, quantity and any bonus allocation shall be disclosed before purchase. Purchased Stamina shall be credited to the purchasing account following confirmation of successful payment, subject to payment verification and processing.
  • Use and deductions. Stamina is deducted according to actual usage and the applicable model rates for input and output tokens. No fixed number of messages or conversation turns is guaranteed. We may reserve Stamina pending calculation of the final deduction and release any unused reservation subject to its original expiry. Usage already incurred may remain chargeable notwithstanding interruption of a request. Any usage exceeding the available balance shall be recorded as an outstanding Stamina amount and offset against subsequent allocations or purchases. Further Stamina-funded use may be restricted until that amount is settled. Disputed deductions are subject to Section 6.
  • Priority of deductions. Following exhaustion of any applicable free allowance, deductions shall be made first from bonus or promotional Stamina, then from purchased Stamina excluding bonuses, and finally from subscription Stamina excluding bonuses. Within each category, priority is determined by the date of the underlying order, earliest first, or by the date of crediting where no order applies. This priority applies irrespective of the relative expiry dates of the available balances.
  • Restrictions. Stamina may be used solely within the Services by the account to which it is credited. It is non-transferable and may not be resold, withdrawn or redeemed for cash. These restrictions do not affect any refund entitlement under the Refund Policy or applicable law.
  • Validity and expiry. Each allocation of Stamina, including purchased, subscription, bonus and promotional Stamina, expires 31 days (744 hours) after it is credited. Any unused amount shall cease to be available for new use upon expiry. A subsequent purchase or subscription renewal does not extend the validity of an existing allocation.
  • Suspension and termination. Use of Stamina may be restricted during account suspension and shall cease upon permanent account closure or termination of the relevant Services. The treatment of unused paid Stamina, including any entitlement to a refund, shall be governed by the Terms of Service, the Refund Policy and applicable law.

5. Relationship between VIP Membership and Stamina

  • Subscription Stamina is allocated in 31-day cycles. Monthly, quarterly and yearly paid subscription periods provide for one, three and twelve scheduled allocations respectively. The first allocation follows confirmation of successful payment. Subsequent allocations are scheduled at 31-day intervals. Allocation cycles are distinct from subscription billing periods, and each allocation remains subject to the 31-day validity period specified in Section 4.
  • A subscriber may purchase additional Stamina at any time, including before exhaustion of subscription allowances. All Stamina remains subject to the deduction priority in Section 4. Exhaustion of Stamina does not terminate the subscription or bring forward its renewal date.
  • A separate Stamina purchase does not confer membership, alter the membership tier or extend or renew the subscription term. Cancellation or expiry of membership does not, of itself, invalidate separately purchased Stamina, which remains subject to its original expiry date and applicable conditions of use.

6. Refund Rules

Unless otherwise provided in the Refund Policy or required by applicable law, activated subscription periods and purchased Stamina are generally non-refundable, whether used, unused or expired. Payment or allocation discrepancies may be submitted to [email protected] for review under the Refund Policy. Approved refunds may entail corresponding adjustments to Stamina or membership entitlements. Nothing in these Terms limits any right or remedy that cannot lawfully be excluded. Such rights are not waived merely by activating a subscription, receiving Stamina or acknowledging the nature and limitations of AI-generated content.
